Terms and Conditions — Wellsy GEO service

1. The parties, and what these terms cover

The provider is Wellsy FZCO, a free zone company registered in the United Arab Emirates under licence no. 29934 issued by the Dubai Integrated Economic Zones Authority (DIEZA), with its registered office at IFZA Properties, DSO-IFZA, Dubai Silicon Oasis, Dubai, United Arab Emirates. VAT registration number (TRN): 104907969000003. Referred to below as "Wellsy".

The client is the legal entity identified upon acceptance of these terms and on the corresponding quotation. Referred to below as "the Client".

The subject of these terms is the Wellsy GEO service: installing a module on the Client's website designed to make it visible in the answers of AI assistants, the automated editorial production that follows, the dashboard that reports on it, the technical monitoring of the website, and the associated visibility measurement.

These terms cover this service only. They are separate from the general terms governing Wellsy's other services, and prevail over them in all matters relating to the Wellsy GEO service.

These terms are addressed to businesses only. No consumer protection provision applies.

2. What is guaranteed, what cannot be, and what is not owed

This is the most important clause in this document. It exists because the service delivers a mechanism whose ultimate outcome depends on decisions made by third parties.

2.1 What Wellsy guarantees

Wellsy undertakes, as an obligation of result, to provide:

  • Installation of the module : connection to the Client's website, creation or rebuild of the agreed pillar pages, construction of the first content plan, opening of the dashboard, and activation of the measurement.
  • Editorial production at the agreed rate — two articles per week by default — provided that the Client's website remains technically reachable for publication and that the Client's model provider key remains funded.
  • Quality control of every article : no article is published without meeting all of the module's blocking quality criteria. This control is performed by deterministic software; it is never delegated to a language model.
  • Visibility measurement : a reading across five answer engines and ten tracked questions, once every three days, whose history is retained and available in the dashboard for the duration of the service.
  • Technical monitoring of the Client's website on the points that determine whether it can be cited (access for answer engine crawlers, robots.txt, sitemap, URL hygiene, indexing status), with an alert sent to the designated contact when an incident occurs.
  • Availability of the dashboard, save for announced maintenance and events of force majeure.

2.2 What is not guaranteed

Wellsy does not, and cannot, guarantee:

  • That the Client will be cited by any AI assistant, within any time frame. The choice of sources and the rules governing citation belong to third parties — including OpenAI, Anthropic, Google, Perplexity and xAI — who change them without notice and contract them with no one.
  • The Client's position within an answer, nor the presence of its domain among the sources displayed.
  • Any volume of traffic, enquiries, leads or revenue.
  • The continued existence of the engines themselves, nor the continued availability of their access interfaces. Should a tracked engine disappear or close its access, measurement continues across the remaining engines; this constitutes neither a breach by Wellsy nor grounds for a price reduction.

In short: Wellsy undertakes to deliver the mechanism, its production and its measurement. Wellsy does not undertake that a third party will decide to cite the Client.

2.3 What is not owed

The service is provided as is. It operates without human intervention on Wellsy's part, and it is that operation which is sold.

Accordingly, save under a separate written and chargeable agreement:

  • No support service is owed, and no response time is guaranteed.
  • No allowance of hours is included.
  • No intervention is owed on the Client's website, hosting, theme, plugins or infrastructure.
  • No training or advisory service is included.

Where an incident originates in the module itself, Wellsy fixes it — that is how the service works, and the fix benefits all of its users. Where an incident originates in the Client's website or environment, Wellsy informs the designated technical contact and does not intervene.

2.4 Improvements are included

The module is developed as a single codebase serving all clients. Any improvement made to it during the term of the service therefore benefits the Client, at no additional cost and with no action required. Wellsy remains the sole judge of the nature, desirability and timing of such improvements; no particular feature may be demanded on this basis.

3. Price, taxes and payment

3.1 Price

The price of the service is the one stated on the quotation accepted by the Client. It is stated exclusive of tax and is payable in full upon order. There is no subscription, no set-up fee and no renewal fee.

The first content plan is included in this price. Subsequent content plans are ordered separately, at the rate in force, communicated to the Client before any order.

3.2 Taxes

For a Client established in the United Arab Emirates, UAE value added tax at 5% is added to the price exclusive of tax and appears on the invoice, together with Wellsy's TRN.

For a Client established outside the United Arab Emirates, the service qualifies as an export of services and the invoice carries a UAE VAT line at the zero rate. It is for the Client to declare and pay, in its own country, any tax due there in respect of the acquisition of this service, under the regime applicable to it, including by reverse charge where applicable.

3.3 Means of payment

Accepted: bank transfer in UAE dirhams, euros, United States dollars or Swiss francs, and, for Clients established in the United Arab Emirates, instant payment by Aani QR code.

Card payment is not accepted for this service.

Payment in a currency other than the dirham is converted at the reference rate on the day of payment. Wellsy applies no rate of its own and publishes no fixed equivalent; the exact amount in the currency of payment appears on the quotation, calculated on the day it is issued.

3.4 Bank charges

For any international transfer, the Client shall instruct that all bank charges be paid by the sender, using the OUR :

All transfer charges, including intermediary and correspondent bank fees, are to be borne by the sender (charge code OUR). The beneficiary must receive the full invoiced amount.

Failing this, charges deducted in transit reduce the sum received: a payment received net of charges is treated as a partial payment, and the balance remains due.

3.5 Bank details

Wellsy's bank details are provided to the Client in a named document and through the payment page addressed to the Client personally. They are never published.

Wellsy's bank details never change by email. Any message announcing a change of account must be treated as fraudulent and verified with Wellsy through another channel before any payment is made.

3.6 Commencement

Work begins upon actual receipt of funds, not upon issuance of the transfer instruction. One to three working days should be allowed for an international transfer.

3.7 Model consumption, borne by the Client

Article writing, illustration generation and visibility measurement run on the model provider key subscribed by the Client, in the Client's name and at the Client's expense. That expense is billed to the Client directly by its provider; it does not pass through Wellsy.

Any orders of magnitude Wellsy communicates are indicative and constitute no undertaking as to cost : model providers set their own prices and may change them at any time.

4. Term of the service — what "for life" means

4.1 For the life of the service, not the life of the Client

The service is provided with no fixed term and without subscription, for as long as the Wellsy GEO service itself is operated.

Wellsy reserves the right to discontinue the service. In that event, Wellsy shall notify the Client in writing giving six months' notice, hand over all of the Client's data in a usable format, and leave the Client its access and its content. Articles published on the Client's website belong to the Client and remain there.

4.2 Fair use, quantified

The following are included for the term of the service, within these limits:

  • access to the dashboard for accounts opened in the Client's name;
  • visibility measurement: ten tracked questions, five engines, one reading every three days. The ten questions are a total budget: where the Client targets more than one language, that budget is shared between them, it is not multiplied;
  • technical monitoring of the website and the associated alerts;
  • improvements to the module, on the terms of clause 2.4.

The Client chooses which engines are tracked. The Client does not choose the measurement frequency, the number of tracked questions, or the models used by the module.

4.3 The content plan is not unlimited

The first content plan is included in the price. Once it is exhausted, production stops for want of topics. A new content plan is ordered separately, at the rate in force.

5. What the Client undertakes to provide and maintain

Wellsy's undertakings under clause 2.1 are conditional upon compliance with the following obligations. They are not recommendations.

  • Valid publishing access, maintained on the Client's website for the whole term of the service. Revocation or expiry of that access interrupts production; the resulting interruption is not attributable to Wellsy.
  • A valid and funded model provider key. Where the key is invalid or its credit exhausted, Wellsy alerts the designated contact; production resumes once the situation is remedied, and the elapsed time is not attributable to Wellsy.
  • Two designated contacts, kept up to date : a management contact, who receives alerts calling for a decision, and a technical contact, who receives alerts concerning the website itself.
  • The material and approvals the service requires: factual information about the Client's business, figures, references, regulatory statements. Wellsy invents no facts. The accuracy of the material supplied is the Client's responsibility.
  • A website accessible to the crawlers of the tracked answer engines. The Client shall not block those crawlers, whether directly or through its host, its web application firewall or a third party, without informing Wellsy.
  • The lawfulness of the website, of the business, and of the material supplied.

6. Content produced, ownership and use of AI

6.1 Ownership of the content

Articles published on the Client's website belong to the Client, without time limit, including after the service ends. The Client may keep, modify, translate, remove or republish them freely.

6.2 Production assisted by artificial intelligence

The Client acknowledges being informed that the articles and illustrations are produced by artificial intelligence models, on the Client's own provider key, following a method and safeguards defined by Wellsy. It is for the Client to draw the consequences of this in the light of any transparency obligations that may apply to its business or sector.

6.3 Two publication modes

The Client chooses, and may change at any time from the dashboard:

  • direct publication : an article that passes quality control is published automatically;
  • draft mode : an article that passes quality control is saved as a draft and awaits action by the Client before publication.

On topics relating to health, finance or law, draft mode is mandatory unless the Client has requested otherwise in writing. Where the Client so requests, editorial review is entirely the Client's responsibility.

6.4 Removal

The Client may remove or unpublish any article, at any time and without reason, from its own website.

6.5 Illustrations

No more than two illustrations accompany each article, generated on the Client's key. They contain no embedded text.

6.6 What remains Wellsy's property

The generation engine, the language packs, the quality control, the dashboard, the editorial method and all components of the module remain the exclusive property of Wellsy. The Client receives a right to use them for the term of the service, which is non-exclusive and non-transferable.

7. Data, security and confidentiality

7.1 Keys and secrets

The Client's model provider key and publishing credentials are encrypted at rest using an envelope scheme, with an encryption key specific to each client. They are never displayed again in clear after entry, never logged, and never disclosed to a third party.

The Client may remove them at any time from the dashboard. Removal erases the secret at Wellsy; it does not revoke it with the provider, which is for the Client to do.

7.2 Search Console

Where the Client authorises Wellsy to consult the indexing status of its website, that access is read-only and strictly limited to that purpose. The authorisation may be revoked at any time, from the dashboard or from the Client's Google account.

7.3 Retention period

Measurement, monitoring and indexing data are retained for the whole term of the service, then erased within thirty days of the end of the service or of the Client's request.

7.4 Confidentiality

Each party shall treat as confidential the non-public information it receives from the other, and shall not disclose it without the other's written consent.

7.5 Use as a reference

Wellsy shall not name the Client as a commercial reference without the Client's prior written consent.

8. Suspension, termination and liability

8.1 Suspension

Wellsy may suspend the service, having informed the Client, in the event of non-payment of a sum due, unlawful use of the service, or revocation of the access required for it to operate.

8.2 Termination by the Client

The Client may stop using the service at any time. The price paid for installation is not refundable once installation has been delivered, installation being bespoke and commenced upon receipt of funds.

Where termination occurs before delivery of the pillar pages, Wellsy shall refund the portion of the price corresponding to work not carried out, pro rata to progress.

8.3 Termination by Wellsy

Wellsy may terminate the service in the event of a material breach by the Client of its obligations, not remedied thirty days after written notice has gone unheeded, and in the case provided for in clause 4.1.

8.4 Effects of termination

Upon termination, for whatever cause: articles already published remain the Client's property and remain on its website; the dashboard, the measurement and the monitoring cease; data is handed over and then erased in accordance with clause 7.3.

8.5 Liability

Wellsy's liability in respect of the service is capped at the amount actually paid by the Client for that service.

Wellsy is not liable for indirect loss, including loss of revenue, of custom, of data or of reputation, nor for the consequences of decisions made by the operators of the answer engines, nor for interruptions attributable to the Client's website, its host or its model provider.

Nothing in these terms limits any liability which cannot be limited under applicable law.

8.6 Force majeure

Neither party is liable for a failure caused by an event beyond its reasonable control, including the failure or discontinuation of a third-party service on which the module depends.

9. Changes to these terms

Wellsy may amend these terms to reflect changes in the service, in its technical environment, or in applicable law.

Each published version carries a version reference, shown in the footer of this document. The version applicable to a Client is the one that Client accepted, as recorded upon acceptance, until that Client accepts a later version.

A material change is notified to the Client in writing, at the email address given upon acceptance, with thirty days' notice. Failing acceptance of the new version, the version previously accepted continues to govern the relationship, except where the change is required by applicable law.

10. Acceptance and evidence

These terms are accepted by the Client by ticking a dedicated box, together with the Client's full name, company and email address, before the payment details are displayed.

Wellsy records, at the moment of acceptance: the date and time, the reference of the version accepted, and the three identifying items above. That record constitutes evidence of acceptance as between the parties.

Payment of the price further confirms that acceptance.

11. Governing law, language and jurisdiction

These terms are governed by the laws of the United Arab Emirates.

Any dispute not resolved amicably within thirty days falls within the exclusive jurisdiction of the courts of Dubai.

These terms are published in French and in English. In the event of any discrepancy between the two versions, the English version prevails.
